Terms of Service

1. Agreement to Terms

By accessing or using Vendor.onl ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform. These terms apply to all users including restaurant owners, staff members, and customers.

2. Description of Service

Vendor.onl is a SaaS platform that enables food and beverage businesses to accept digital orders via QR codes. Features include digital menus, order management, payment processing, staff management, and analytics. We provide the software platform only — we are not a party to transactions between restaurants and their customers.

3. Account Registration

To use the Platform you must:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years of age or have parental consent
• Be a legally operating business or authorized representative

You are responsible for all activity that occurs under your account.

4. Subscriptions and Payment

• All new accounts receive a 7-day free trial with no credit card required
• After the trial, a paid subscription is required to continue using the Platform
• Subscription fees are billed monthly in Nigerian Naira (₦)
• Payments are processed by Paystack. By subscribing you agree to Paystack's terms
• Subscriptions auto-renew monthly unless cancelled before the renewal date
• We reserve the right to change pricing with 30 days notice
• No refunds are provided for partial months

5. Payment Processing

When customers pay orders through your QR menu:

• Payments are processed by Paystack and settled directly to your registered bank account
• You are responsible for ensuring your bank account details are accurate
• Settlement timing is subject to Paystack's settlement schedule (typically T+1)
• We are not responsible for delays in settlement caused by Paystack or your bank
• You are responsible for any taxes applicable to your sales
• A platform fee of 1.5% is deducted from each order payment and goes to Vendor.onl on top of the monthly subscription fee
• When customers choose to pay via card or bank transfer, Paystack's transaction fee (1.5% + ₦100) is added to the customer's total at checkout. This does not apply to direct cash or OPay payments made to the restaurant

6. Cancellation and Account Termination

• You may cancel your subscription at any time from the Pricing page in your dashboard
• Cancellation takes effect immediately — access is revoked upon cancellation
• Your data is retained for 90 days after cancellation before permanent deletion
• You may resubscribe at any time within the 90-day period to restore access
• We reserve the right to terminate accounts that violate these terms

7. Acceptable Use

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Sell prohibited, counterfeit, or illegal goods or services
• Attempt to hack, reverse engineer, or exploit the Platform
• Upload malicious code or content
• Impersonate another business or person
• Use the Platform to send spam or unsolicited communications
• Share your account credentials with unauthorized parties

8. Intellectual Property

The Platform, including its design, code, and content, is owned by Vendor.onl and protected by intellectual property laws. You retain ownership of your business content (menus, logos, etc.) uploaded to the Platform. By uploading content, you grant us a license to display it on the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, Vendor.onl shall not be liable for:

• Loss of revenue or profits resulting from Platform downtime
• Payment disputes between you and your customers
• Errors in order management or payment processing
• Data loss beyond our control
• Actions of third-party services (Paystack, Resend, Supabase)

Our total liability to you shall not exceed the amount you paid us in the 3 months prior to the claim.

10. Disclaimers

The Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue the Platform at any time with reasonable notice.

11. Changes to Terms

We may update these Terms of Service at any time. We will notify you of significant changes by email or dashboard notice. Continued use of the Platform after changes constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in Nigerian courts.
